Apartment List’s Spark Event Peloton giveaway (the “Giveaway”) is sponsored by Apartment List, Inc. (the "Sponsor"), at 475 Brannan Street, Suite 410, San Francisco, CA 94107. Our Spark event is an event for marketing leaders in multifamily to share ideas, learn from respected business pioneers, and brainstorm new solutions to persistent challenges in the rental industry. Any questions, comments, complaints or claims regarding the Giveaway must be directed to the Sponsor. The “website” means www.apartmentlist.com. All federal, state, and local laws and regulations apply.

By entering the Giveaway, each Entrant (defined below) unconditionally accepts and agrees to be bound by these Official Rules and the decisions of the Sponsor, which will be final and binding in all matters relating to the Giveaway. Apartment List is responsible for the collection, submission and processing of entries and the overall administration of the Giveaway. Entrants should look solely to Apartment List with any questions, comments or problems related to the Giveaway. 1. ELIGIBILITY. The Giveaway is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees, owners, shareholders, equity holders, officers, directors and contractors of Sponsor, Peloton, Instagram, Facebook and Twitter and their respective affiliates, subsidiaries, parent companies and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible. Void outside of the 50 United States and the District of Columbia and where prohibited by law.

2. HOW TO ENTER. There are two ways to enter as an entrant to the Giveaway (“Entrant”):

(a) register for our Spark event on https://spark.apartmentlist.com, or

(b) on a postcard or a card that is no smaller than 3 ½ x 5 inches and no larger than 4 ¼ x 6 inches, legibly hand write your complete name, mailing address, and phone number and mail with proper postage to 475 Brannan Street, Suite 410, San Francisco, CA 94107. All write-in entries must be postmarked by May 21, 2021 and received by May 26, 2021.

3. ENTRY PERIOD. The Giveaway begins on May 11th, 2021 at 12:01:00 a.m. Pacific Time (“PT”) and ends on May 21, 2021 at 11:59:59 p.m. PT (the “Entry Period”). For mail-in entries submitted in accordance with Section 2 (How to Enter) above, the Entry Period for the receipt of mail-in entries ends on June 3, 2021 at 11:59:59pm PT; provided that such entries were postmarked by May 26, 2021. Entries must be received before the Entry Period end time to be valid. All entries become the exclusive property of the Sponsor and will not be acknowledged or returned. Apartment List’s database clock will be the official timekeeper for the Giveaway. Individuals submitting mail-in entries may request a copy of these Official Rules in the mail.

4. RESTRICTIONS. Regardless of the entry method used to enter the Giveaway (e.g., online registration or mail-in entry), there is a maximum entry limit of one (1) entry per Entrant, email address, mailing address, telephone number and household throughout the Entry Period. Your entry can only be submitted via our website (www.apartmentlist.com) or via mail as a mail-in entry (see How to Enter above). Automated or robotic entries are prohibited, and any use of automated devices will cause disqualification. Entrants must have a valid email address or a mailing address for mail-in Entrants. Entrants may not enter with multiple email addresses or mailing addresses nor may Entrants use any other device to enter multiple times or as multiple Entrants or use other people’s mailing addresses. Any Entrant who attempts to enter with multiple email addresses, multiple mailing addresses, under multiple identities, or uses any device or addresses to register multiple times will be disqualified and forfeits any and all prizes won, in Sponsor’s sole discretion. Multiple Entrants are not permitted to share the same email address or mailing address. Should multiple users of the same email account enter the Giveaway and a dispute thereafter arises regarding the identity of the Entrant, the authorized account holder of said email account at the time of entry will be considered the Entrant. An “authorized account holder” is defined as the natural person who is assigned an email address by an Internet access provider, and on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be required to show proof of being the authorized account holder.

Final eligibility for the award of the prize is subject to eligibility verification as set forth below.

5. DRAWING/ODDS. The winner of the Giveaway will be selected in a random drawing from among all eligible entries received throughout the Entry Period. One winner will be selected for the Giveaway. The random drawing will be conducted on or around May 26th, 2021 by Apartment List or its designated representatives, whose decisions are final, at 475 Brannan Street, Suite 410, San Francisco, CA 94107 (or at a virtual office of Sponsor). Odds of winning will vary depending on the number of eligible entries received.

6. PRIZE. Only one prize will be awarded for the Giveaway. One (1) prize winner will receive a gift card for the Peloton Bike Essentials Package (valued at $2,045). This includes a Peloton bike, 1 pair of cycling shoes, and 1 pair of bike weights. Total approximate retail value or "ARV" of the prize is up to $2,045. Note that this valuation is based on the price of these items as of May 2021. Winners who do not use their gift card promptly after receipt may not receive the full package due to price increases at Peloton.

Prizes cannot be transferred, redeemed for cash or substituted by the winner. Apartment List reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason.

The ARV of the prize represents Apartment List's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Apartment List makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Apartment List will not replace any lost or stolen prize items.

The value associated with the prize is taxable as income. The prize winner is solely responsible for all applicable federal, state and local taxes, including taxes imposed on his/her income. The Sponsor must report the value of the prize to the Internal Revenue Service in the year the prize is received by the prize winner and will be reported to the prize winner and the Internal Revenue Service in the form of a Form 1099.

Failure to comply with the Official Rules will result in forfeiture of the prize.

7. WINNER NOTIFICATION. The winner will be announced randomly during the Spark event on Wednesday, May 26th. Details will be confirmed by email at the email address provided in the online entry when registering or at the mailing address provided in the mail-in entry approximately 30 days after the random drawing (the “Notification”). Apartment List is not responsible for any delay or failure to receive Notification for any reason, including inactive email account(s), technical difficulties associated therewith, the winner’s failure to check his/her mailbox or adequately monitor any email account.

The potential winner is required to sign and return an Affidavit of Eligibility, Release of Liability, W-9 tax form, and where lawful, a Publicity Release (the “Paperwork”) within fourteen (14) days after receipt of the Notification. If the potential winner fails to return the Paperwork within 14 days after receipt of the Notification. or is found to be ineligible, or if he/she does not comply with the Official Rules, such potential winner and his/her entry will be disqualified and another potential winner will be selected from the remaining eligible entries received. If the Notification is returned as undeliverable, this will result in disqualification and an alternate winner will be selected from all remaining eligible entries. Sponsor is not responsible for any change of email or mailing address.

The potential winner is subject to verification, including verification of age, verification of current residence and verification of residential rental obligations. If a winner cannot be verified, or if a winner is otherwise unable or unwilling to accept and claim the prize as stated, then the potential winner may be disqualified and the prize may be forfeited in Sponsor’s sole discretion. In the event that a potential winner is disqualified for any reason, Sponsor reserves the right to award the prize to an alternate Entrant.

After verification of the Paperwork, the prize will be emailed in the form of a giftcard from spark@apartmentlist.com, or we will mail it to you if you submitted a mail-in entry.

No cash alternative or prize substitutions for any prize will be allowed, except in Sponsor’s sole discretion. If a prize cannot be awarded for any reason, Sponsor reserves the right to not give a prize or substitute the prize with another prize of equal or greater value. All prize details are at Sponsor’s sole and absolute discretion.

8. WINNER LIST. For the name of the winner after the prize is awarded, email Spark@apartmentlist.com or visit our website or mail your request with a self-addressed envelope to Sponsor at 475 Brannan Street, Suite 410, San Francisco, CA 94107.

9.DISCREPANCIES. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Giveaway materials, including promotional materials and advertisements, our website’s Terms of Use, and these Official Rules, these Official Rules will control.

10. RELEASE. To the extent permitted by law, by entering the Giveaway, each Entrant and winner releases all employees, owners, shareholders, interest holders, officers, directors and contractors of Sponsor, Peloton, Instagram, Facebook and Twitter and their respective affiliates, subsidiaries, and parent companies (“Released Parties”) from and against any and all losses, damages, rights, claims, and actions arising in whole or in part, directly or indirectly, from participation in the Giveaway, or acceptance or use of a prize, including without limitation, personal injury, death, and/or property damage, and claims based on publicity rights, defamation, and invasion of privacy.

11. INDEMNIFICATION. To the extent permitted by law, by entering the Giveaway, each Entrant and winner indemnifies, defends and holds harmless the Released Parties from any claims asserted by third parties against the Released Parties arising in whole or in part, directly or indirectly, from participation in the Giveaway, or acceptance or use of the prize.

12. PUBLICITY; ENTRANT’S PERSONAL INFORMATION. By entering this Giveaway, each Entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry only for the purpose of administering the Giveaway and in accordance with these Official Rules and Sponsor’s Privacy Policy located at https://www.apartmentlist.com/about/privacy.

If you are selected as a winner, your information may be included in a publicly available winner list, and used for purposes of advertising by Sponsor and as otherwise provided in these Official Rules and your Publicity Release, if applicable, without further consideration, and you consent to such uses and publicity.

13. LIMITATIONS OF LIABILITY. ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS GIVEAWAY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS. Apartment List assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of the Giveaway; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Giveaway; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to an entrant's or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Giveaway or download of any materials in the Giveaway. If, for any reason, the Giveaway is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway, Apartment List reserves the right at its sole discretion to cancel, modify or suspend the Giveaway in whole or in part. In such event, Apartment List shall immediately suspend the drawing and prize award. Apartment List and Released Parties shall not have any further liability to any participant in connection with the Giveaway.

14. SEVERABILITY. If any provision of these Official Rules is held to be invalid or unenforceable, all remaining provisions will remain in full force and effect.

15. GOVERNING LAW AND COURT VENUE. This Giveaway and its Official Rules are governed by US law and are subject to all applicable federal, state and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of the Giveaway and the Official Rules, or the rights and obligations of entrants and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings shall take place in the State of California, in the County of San Francisco.
